Overview
Westpark Windows is a well-established, family-run manufacturing and installation business based in the North West. Having traded successfully for over 30 years under its founder’s leadership, the company was preparing for the next generation to take the reins through a management buyout (MBO) led by the founder’s son.
Ryans were appointed as lead advisors to support both the ownership transition and the modernisation of the company’s financial systems.
Our Role
We worked closely with the family to manage a two-phase project:
1. Digital Transformation
When we first met Westpark Windows, the business relied heavily on manual, paper-based processes.
We guided the company through a full back-office digital transformation, including:
- Migrating accounting functions from manual records to Xero.
- Streamlining document storage and workflow approvals using cloud-based systems.
- Training the internal team to manage bookkeeping, reporting, and cashflow forecasting digitally.
This transition not only increased efficiency but also gave management real-time visibility of financial performance and job profitability for the first time.
2. Management Buyout (MBO)
Alongside the digital transformation, the founder wished to hand the business over to his son in a structured and tax-efficient way.
Ryans acted as lead advisors on the deal, coordinating with solicitors and funders to:
- Structure the transaction to achieve a smooth handover.
- Value the business and agree appropriate purchase terms.
- Ensure the transaction was tax-efficient for both the outgoing and incoming shareholders.
- Oversee the due diligence and completion process.
The Outcome
- The next generation successfully took ownership of Westpark Windows under a clear and sustainable MBO structure.
- The business now operates with a fully digital back-office system, enabling stronger financial control, faster reporting, and improved decision-making.
- The transition was completed with minimal disruption to day-to-day operations, preserving the founder’s legacy while empowering the new leadership to grow the business.
